1. About these Terms

These Terms & Conditions form the contract between you and Amy Clare Deignan Limited, trading as BROODE (“BROODE”, “we”, “our” or “us”), company number 809007, registered at 14 Church Drive, Eden Gate, Delgany, Co. Wicklow, A63 DY95, Ireland.

BROODE provides an online membership service supporting pregnancy and early parenthood through educational content, expert-led resources, member community features, live and recorded sessions and related services.

By purchasing a paid BROODE membership, creating or using a complimentary partner account, or otherwise using BROODE where these Terms are presented as applicable, you agree to these Terms. Please read them carefully and retain a copy.

Customer support is provided primarily by email.

2. Definitions

Term

BROODE Platform

broode.ie, BROODE's Kajabi-hosted member area, branded app, community, courses, forms and other electronic services operated by or for BROODE.

Content

text, graphics, downloads, audio, video, recordings, courses, guides, webinars, presentations and other material made available through BROODE, including Member Content where the context requires.

Consumer

an individual acting for purposes outside their trade, business, craft or profession.

Member

a person who has a BROODE account, whether as a paying member or an authorised complimentary partner/support person.

Member Content

content posted or submitted by a Member to BROODE community spaces, forms, comments, Q&As or similar interactive features.

Membership

the paid BROODE subscription service and any complimentary partner access linked to it, together with the Services included in the relevant offer.

Services

the services made available through BROODE from time to time, whether included in Membership, offered free of charge or sold separately.

3. Our contract with you

The description of the Membership or other Service, its price and any offer-specific terms will be shown on the relevant BROODE page or checkout.

Unless we tell you otherwise, a paid Membership contract is formed when your payment is successfully accepted and we confirm or activate your access.

After the contract is formed, BROODE will provide you with confirmation on a durable medium, normally by email. That confirmation will attach a PDF copy of the version of these Terms applicable when you entered into the contract and will contain the information required by applicable consumer law. Where you have expressly requested the immediate commencement of Membership Services during the 14-day cancellation period, the confirmation may also record that request and the related acknowledgement given at checkout.

A complimentary partner/support-person account is not a separate paid membership. It is linked to an eligible paid Membership and remains subject to these Terms.

BROODE is designed primarily for users in Ireland. Some Content refers to Irish healthcare services, professional practice, public-health guidance or local services and may not be appropriate for users elsewhere.

We may refuse or withdraw access where reasonably necessary, including where we cannot lawfully provide the Services, where payment fails, or where these Terms are materially breached.

4. Eligibility, accounts and security

  • You must be aged 18 or over to hold a BROODE account.
  • You must provide accurate and reasonably up-to-date information when creating or using your account.
  • You are responsible for keeping your login credentials confidential and for activity carried out through your account.
  • You must contact support@broode.ie promptly if you believe your account has been accessed without permission.
  • A paid Membership is personal to the paying member and may not be transferred. Complimentary partner access must be used through the partner's own authorised account.
  • Except for a specifically authorised complimentary partner account, you must not share login credentials or permit another person to use your account.

5. What Membership includes

BROODE Membership may include a combination of digital educational Content, courses, guides, live and recorded webinars, expert Q&A sessions, community spaces, drop-in calls, sleep/feeding/parenting resources, exercise or movement Content, events, member offers and other features described on the BROODE Platform.

The exact mix, frequency, presenter, timing and format of individual Membership features may change for valid reasons, including to update or improve Content, reflect changes in law, HSE or other relevant professional guidance, address safety, security or technical requirements, respond to contributor availability, replace discontinued functionality or make changes that do not materially reduce the overall Membership service.

BROODE will not use this right to remove a material paid feature or materially reduce the overall Membership without complying with clause 16 and any applicable consumer rights. A particular webinar, expert, event or feature is not guaranteed unless expressly included as a specific part of the paid offer.

6. Prices, payment and recurring billing

The price of Membership is shown at checkout and is inclusive of applicable taxes where required. BROODE may offer founding, promotional, discounted or coupon-based rates subject to the terms of the relevant offer.

Unless an offer states otherwise, paid Membership is billed on a recurring monthly basis using the payment method provided at checkout. Payments are processed using Kajabi Payments / Stripe.

Your Membership will continue and the applicable recurring charge will be taken on each billing date until you cancel or the Membership otherwise ends.

Unless the relevant offer states otherwise, Membership continues on a rolling monthly basis and does not have a minimum fixed term. The recurring monthly price, billing frequency and cancellation arrangements will be displayed clearly before purchase.

If BROODE proposes to increase the recurring price payable by an existing Member, BROODE will give reasonable advance notice on a durable medium. The increased price will not apply before a future billing date specified in that notice, and the Member may cancel before the increased price is charged.

If a payment fails, we may retry payment, contact you about the payment or suspend/terminate paid access in accordance with the payment platform's functionality and applicable law.

7. Statutory withdrawal / 14-day cooling-off rights

If you are a Consumer and purchase Membership online, you generally have a statutory right to cancel the contract without giving a reason during the 14 days beginning on the day the contract is concluded, subject to applicable law.

BROODE provides immediate access to Membership Services, digital services and Content where you expressly request this at checkout. Where applicable, you will also be asked to acknowledge that, if a Service or digital service is fully performed during the 14-day cancellation period, your statutory right to cancel that fully performed Service or digital service will end.

In addition to your statutory rights, BROODE’s commercial policy is that if you notify BROODE during the initial 14-day cancellation period that you wish to cancel your Membership, BROODE will cancel the Membership and refund the Membership fee you paid in full, regardless of the Membership Services, digital services or Content you have accessed during that period. BROODE will not seek a proportionate payment for Services or digital services supplied during that period and does not require you to waive your cancellation right in respect of digital Content supplied during that period.

To cancel during the 14-day period, you may use the model cancellation form in Schedule 1, send another unequivocal statement of your decision to cancel to support@broode.ie, or use any online cancellation function provided by BROODE.

BROODE will make the applicable refund within 14 days after being informed of your decision to cancel, using the same payment method used for the original payment unless you expressly agree otherwise.

Nothing in this clause affects any separate statutory rights or remedies arising where digital Content, a digital service or another Service is not supplied or does not conform to the contract.

8. Cancelling Membership, refunds and access after cancellation

After the statutory cancellation period in clause 7 has expired, you may cancel your recurring Membership at any time using the cancellation facility made available through your account or by contacting support@broode.ie.

Cancellation will stop future recurring charges and will normally take effect at the end of the current paid billing period. Unless access is lawfully suspended or terminated earlier under clause 17, you will retain paid access until the end of that billing period.

Fees already paid for a current billing period are not refundable merely because you stop using the Membership or choose to cancel part-way through that billing period.

This clause does not affect any statutory right to cancel, terminate, obtain a price reduction or receive a refund, including rights arising under clause 7, where Content or Services are not supplied or do not conform to the contract, or following a qualifying material modification under clause 16.

9. Complimentary partner/support-person access

Where a paid Membership offer includes complimentary access for a partner or support person, the paying member may invite one eligible person using the process provided by BROODE.

The paying Member may provide a partner or support person's name and email address for the purpose of sending an invitation only where that person has agreed to receive the invitation. The partner or support person must create their own account and accept these Terms before complimentary access is activated. The paying Member cannot accept these Terms on their behalf.

BROODE may use Kajabi, Zapier and related service providers to create and maintain the technical link between the paying account and the complimentary account. Personal data used for that process will be handled as described in the BROODE Privacy & Cookies Policy.

The partner/support person must create and use their own BROODE account and is bound by these Terms. Complimentary access has no independent cash value and cannot be sold, transferred or exchanged.

BROODE uses an automated link between the paying account and the complimentary account. If the paying Membership ends, the linked complimentary access will also end.

If a former complimentary partner wishes to continue using BROODE after the linked paid Membership ends, they may purchase their own Membership at the price and terms then available.

10. Medical, health and educational Content disclaimer

BROODE provides general educational and informational support relating to pregnancy, birth, postpartum, babies, parenting and related wellbeing topics. BROODE does not provide individual medical diagnosis, treatment, prescribing or emergency medical care.

Some BROODE Content may be reviewed by practising Irish GPs or other appropriately qualified professionals, or prepared by reference to published HSE guidance. Any description such as “GP-reviewed” or “HSE-aligned” refers only to the review or source of the particular Content identified. It does not mean that the HSE endorses BROODE or that a GP or other healthcare professional has assessed your individual circumstances.

You should use your own judgement and seek advice from your GP, midwife, public health nurse, pharmacist, consultant or other appropriately qualified healthcare professional where you have questions about your own or your child's health, symptoms, diagnosis, treatment, medication, pregnancy, recovery or suitability for exercise.

Live Q&As, webinars, community discussions and similar sessions are intended for general educational discussion. They are not intended for individual diagnosis, clinical assessment, prescribing, medication advice or personalised treatment plans. A contributor may decline to answer an individual health question and may direct you to your own GP, midwife, public health nurse, obstetrician or other appropriately qualified healthcare professional. Participation does not, by itself, establish an individual clinician-patient relationship. Nothing in these Terms limits any professional duty or legal responsibility that may arise where a regulated healthcare professional actually provides individual clinical care.

BROODE is not an emergency service. If you believe that you or another person needs urgent or emergency medical attention, seek appropriate medical or emergency assistance without waiting for a response from BROODE.

Health and professional guidance can change. BROODE may update Content over time, but we cannot guarantee that every item of Content will always reflect the most recent guidance at every moment.

10.1 Exercise and movement Content

Exercise, Pilates, physiotherapy or other movement Content provided through BROODE is general educational Content and may not be suitable for every person, particularly during pregnancy, postpartum recovery, after surgery or where you have a medical condition, pregnancy complication or concerning symptom.

You should follow any individual advice already given by your healthcare professional and seek advice from your GP, midwife, obstetrician, physiotherapist or other appropriately qualified professional where your circumstances indicate that individual advice is appropriate.

Stop exercising and seek appropriate medical advice if you experience concerning symptoms. BROODE exercise Content is not a substitute for individual medical or physiotherapy assessment.

10.2 Member and third-party Content

Members may share personal experiences, recommendations or opinions in the community. Unless clearly stated otherwise, Member Content has not been medically or professionally verified by BROODE and should not be relied upon as medical or professional advice.

Guest experts and third-party contributors may express their own professional opinions. BROODE does not guarantee that every view expressed by a contributor will apply to your circumstances.

11. Community Guidelines

BROODE is intended to be a supportive member community. By participating in community areas, live chats, Q&As, drop-in calls or similar interactive features, you agree to follow these Community Guidelines.

  • Treat other members, experts, moderators and staff with respect. Harassment, bullying, intimidation, discriminatory abuse, shaming or deliberately hostile behaviour is not permitted.
  • Do not post unlawful, defamatory, threatening, obscene, sexually explicit, violent or deliberately deceptive material.
  • Do not diagnose another member or present personal experience as a substitute for individual medical advice. Do not encourage another person to ignore urgent symptoms or professional medical advice.
  • Respect privacy. Do not screenshot, record, copy, republish or share another member's private community post, image, message or personal information outside BROODE without their permission.
  • Do not disclose confidential or sensitive information about another person without an appropriate basis or permission.
  • Do not impersonate another person or misrepresent your identity, qualifications, professional status or affiliation.
  • Do not use BROODE primarily to advertise, solicit business, recruit clients, send spam, promote unrelated products/services or conduct unauthorised commercial activity.
  • Do not upload material that infringes another person's copyright, trademark, privacy or other rights.
  • Do not attempt to obtain another member's password, access another account, scrape member information or interfere with BROODE's systems or security.
  • Follow reasonable instructions from BROODE moderators concerning community safety, privacy and the operation of the platform.

 

BROODE may moderate, restrict the visibility of or remove Member Content, and may restrict, suspend or remove account access, where it reasonably believes that these Community Guidelines, these Terms or applicable law have been breached. Any action taken will be proportionate to the nature and seriousness of the issue, subject to BROODE taking immediate action where reasonably necessary for safety, security or legal compliance.

 

Members may report Content or conduct that they reasonably believe is unlawful or breaches these Guidelines to support@broode.ie or through any reporting functionality made available on the platform. The report should identify the Content or conduct concerned and provide enough information for BROODE to assess the issue.

12. Member Content and privacy

You retain ownership of intellectual-property rights you hold in Member Content. By submitting Member Content to BROODE, you grant BROODE a non-exclusive licence to host, store, display, reproduce and technically process that Content only to the extent reasonably necessary to operate, administer, moderate and protect the relevant BROODE service.

BROODE will not use a private community post as a public testimonial or public marketing endorsement without obtaining any additional permission required for that use.

Community areas are intended to be private member environments, but BROODE cannot guarantee that another member will never copy or share Content in breach of these Terms. You should therefore avoid posting information that you would not want another authorised member to see.

If you believe Content infringes your rights or should be removed, contact support@broode.ie with enough information for us to assess the issue.

13. Prohibited use and platform security

  • You must not copy, download, reproduce, distribute, sell, license or commercially exploit BROODE Content except where expressly permitted.
  • You must not record live BROODE sessions, webinars, community calls or another member without express permission.
  • You must not attempt to bypass access controls, obtain unauthorised access, introduce malware, damage the platform or interfere with another user's use.
  • You must not collect, scrape, harvest or build databases of member information or BROODE Content.
  • You must not share paid downloads, course materials, recordings or login credentials outside your authorised household/account access.

14. Intellectual property

Unless stated otherwise, BROODE or its licensors own or control the intellectual-property rights in BROODE branding, original Content and the compilation and presentation of the Services.

Your Membership gives you a personal, limited, non-exclusive, non-transferable licence to access and use BROODE Content for your own private, non-commercial use during the period you are entitled to access it.

Nothing in these Terms transfers ownership of BROODE's or a contributor's intellectual property to you.

15. Privacy and personal data

Our processing of personal data is described in the BROODE Privacy & Cookies Policy, which should be read together with these Terms.

The Privacy & Cookies Policy explains, among other matters, BROODE's processing of onboarding information, pregnancy/parenthood information, partner-access information, community information, payments, service providers and cookies.

16. Availability, changes and interruption to Services

We aim to keep BROODE available and useful, but access may occasionally be interrupted by maintenance, platform outages, technical problems, security issues, expert availability or circumstances outside our reasonable control.

Where reasonably practicable, we will try to minimise material disruption. We do not guarantee uninterrupted or error-free access.

BROODE may modify digital Content or digital Services supplied on a continuing basis only for a valid reason provided for in these Terms and without imposing an additional charge solely because of that modification.

Where a modification negatively affects a Member's access to or use of the digital Content or digital Service other than to a minor extent, BROODE will give reasonable advance notice on a durable medium describing the modification, when it will take effect and any statutory right to terminate without charge. Nothing in this clause limits a Member's rights under the Consumer Rights Act 2022.

17. Suspension and termination by BROODE

We may suspend or terminate an account where reasonably necessary, including for non-payment, fraud, security concerns, serious or repeated breach of these Terms, harassment, misuse of the community, unauthorised sharing of Content or conduct that creates a material risk to BROODE or other members.

Where reasonably appropriate before suspending or terminating Membership for breach, BROODE will notify the Member of the concern and give a reasonable opportunity to remedy it. Immediate action may be taken where reasonably necessary because of serious misconduct, harassment, fraud, unlawful activity, safety or security risk, unauthorised sharing of Content or another serious breach.

If BROODE terminates a paid Membership because of a serious or repeated breach by the Member, access may end immediately where that response is proportionate to the breach.

If BROODE ends a paid Membership for a reason unrelated to the Member's breach, BROODE will either allow paid access to continue until the end of the current billing period or, where access ends earlier, refund the proportionate part of the Membership fee relating to the unused paid period.

Nothing in this clause affects any statutory right or remedy.

18. Disclaimers and limitation of liability

Nothing in these Terms excludes or limits:

(a) any statutory right or remedy that cannot lawfully be excluded or restricted;

(b) BROODE's liability for death or personal injury arising from an act or omission of BROODE;

(c) liability for fraud or fraudulent misrepresentation; or

(d) any other liability that cannot lawfully be excluded or limited.

Subject to the above, BROODE is responsible for loss or damage that is a reasonably foreseeable result of its breach of contract or failure to exercise the level of care required by law.

BROODE is not responsible for loss arising solely because a Member relies on unverified Member Content or general third-party information as a substitute for individual professional advice, where BROODE has not represented that material as personalised professional advice.

Nothing in this clause limits any duty or liability of a regulated healthcare professional arising from individual clinical care actually provided by that professional.

19. Complaints and dispute resolution

If you are unhappy with BROODE or wish to make a complaint, please contact support@broode.ie with enough information for us to understand and investigate the issue. We will consider complaints in good faith, respond within a reasonable timeframe and may request further information where reasonably necessary.

Complaints concerning personal-data processing will also be handled in accordance with the BROODE Privacy & Cookies Policy, including your right to complain to the Irish Data Protection Commission.

If a consumer complaint cannot be resolved directly, BROODE will provide the consumer in writing with the name and website address of an appropriate alternative dispute resolution entity that can deal with the dispute and will state whether BROODE is willing or required to use that ADR process, as required by applicable law.

Nothing in this clause prevents a consumer from exercising any right to bring proceedings before a competent court.

20. Changes to these Terms

BROODE may update these Terms for a valid reason, including a change in law or regulatory requirements, a change to Membership features or technology, safety or security requirements, relevant professional guidance, or a change reasonably necessary to administer the Services.

Where a change materially affects an ongoing paid Membership, BROODE will notify the Member on a durable medium before the change takes effect. Except where an immediate change is reasonably necessary to comply with law or address a serious safety or security issue, a material adverse change will not take effect before a future billing date, and the Member may cancel before it takes effect without any further recurring charge.

Changes to digital Content or digital Services are also subject to clause 16 and applicable statutory rights.

21. General terms

If any provision of these Terms is held to be invalid or unenforceable, it will be interpreted or reduced only to the extent necessary, and the remaining provisions will continue to apply.

A failure or delay by BROODE in enforcing a right does not waive that right.

Neither party will be liable for a failure or delay caused by circumstances outside its reasonable control, subject to any rights that cannot lawfully be excluded.

These Terms and any dispute or claim arising from them are governed by the laws of Ireland, subject to any mandatory consumer rights that apply.
